Terms and Conditions for Muraxi

Welcome to Muraxi, an agile retrospective tool designed to enhance team collaboration and project improvement. These Terms and Conditions govern your use of the Muraxi web application, including all related services, features, content, and functionality (collectively, the "Service").

Please read these Terms and Conditions carefully before using our Service. By accessing or using Muraxi, you agree to be bound by these Terms and Conditions. If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service.

1. Definitions

"Company", "We", "Our", or "Us" in any of our policies or terms, refers to Pequy Consultoria.
"User," "You," and "Your" refer to the individual or entity that has agreed to these Terms and Conditions and is using the Muraxi Service.
"Services" refers to our websites, including muraxi.com, pequy.com, and any product created and maintained by Pequy Consultoria.
"Content" refers to text, images, graphics, audio, video, and all other forms of data or communication that Users submit to or make available through the Service.
"Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights, and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals, and extensions thereof, under the laws of any state, country, territory, or other jurisdiction.

2. Account Registration and Eligibility

2.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Muraxi of any unauthorized use of your account or any other breach of security.

2.3 Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet all eligibility requirements.

3. Subscription and Free Trial

3.1 Free Trial

Muraxi offers a free trial of its subscription service for a limited time, currently 15 days. We reserve the right to modify the duration of the free trial period at any time without prior notice.

3.2 Subscription Plans

Following the free trial period, continued use of the service requires payment in advance for a subscription plan. If you do not pay, we will freeze your account and it will be inaccessible until you make payment. Details of subscription plans, including pricing and features, are available on our website.

3.3 Billing and Renewal

Subscriptions will automatically renew at the end of each billing period unless you cancel your subscription prior to the renewal date. If you do not pay, we will freeze your account and it will be inaccessible until you make payment. If your account has been frozen for a while, we will queue it up for auto-cancellation.

3.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation will be effective at the end of the current billing period, and you'll be able to use your account until your paid period expires. Upon cancellation of your account, your content will be permanently removed from our active servers after 30 days. Once the permanent deletion process is complete, recovery of your content is not feasible.

We may cancel accounts if they have been inactive for an extended period:

For trial accounts: 30 days after a trial has expired without being upgraded.

After the trial period, you need to pay in advance to keep using the Service. If you do not pay, we will freeze your account and it will be inaccessible until you make payment. If your account has been frozen for a while, we will queue it up for auto-cancellation.

4. User Content

4.1 Content Creation and Ownership

You retain ownership of all Content you submit, post, or display on or through the Service. By submitting, posting, or displaying Content, you grant Muraxi a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such Content solely for the purpose of providing and improving the Service.

4.2 Content Restrictions

You agree not to submit, post, or display Content that:

Infringes or violates the intellectual property rights or any other rights of others
Violates any law or regulation
Is harmful, abusive, defamatory, obscene, or otherwise objectionable
Constitutes unauthorized or unsolicited advertising, junk or bulk email
Contains software viruses or any other malicious code
Impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity

4.3 Monitoring and Removal

Muraxi has the right, but not the obligation, to monitor and review Content submitted to the Service. We may remove any Content that violates these Terms and Conditions or is otherwise objectionable, at our sole discretion and without prior notice.

4.4 Copyright Infringement

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide us with the following information:

An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest
A description of the copyrighted work that you claim has been infringed
A description of where the material that you claim is infringing is located on the Service
Your address, telephone number, and email address
A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

5. Intellectual Property Rights

5.1 Muraxi Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Muraxi and its licensors. The Service is protected by copyright, trademark, and other laws of both Brazil and foreign countries. Our trademarks, logos, visual designs, and service marks may not be used without our prior written consent.

5.2 Limited License to Users

Subject to these Terms and Conditions, Muraxi grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for its intended purpose.

6. Feedback and Suggestions

6.1 Ownership of Feedback

If you provide Muraxi with any feedback, suggestions, improvements, enhancements, or feature requests relating to the Service ("Feedback"), you hereby assign to Muraxi all rights, title, and interest in and to the Feedback. Muraxi shall be free to use, reproduce, disclose, publish, modify, license, transfer or otherwise distribute and exploit any Feedback without restriction or obligation of any kind to you.

6.2 No Compensation

You acknowledge and agree that you will not receive any compensation or credit for any Feedback you provide, regardless of whether Muraxi implements such Feedback.

7. Promotions and Contests

7.1 Promotions

Muraxi may offer promotions, contests, or sweepstakes (collectively, "Promotions") through the Service. Each Promotion may have additional terms and conditions, which will be posted or otherwise made available to you, and by participating in a Promotion, you will be subject to those terms and conditions in addition to these Terms and Conditions.

7.2 Eligibility

Muraxi reserves the right, in its sole discretion, to limit eligibility and participation in Promotions to certain Users or geographical areas.

8. Disclaimers and Limitation of Liability

8.1 "As Is" and "As Available"

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 No Guarantee of Availability

Muraxi does not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

8.3 Limitation of Liability

In no event shall Muraxi, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content

8.4 Liability Cap

In no event shall Muraxi's total liability to you for all claims arising from or related to the Service exceed the amount paid by you, if any, for accessing the Service during the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Muraxi and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms and Conditions, or your violation of any third-party rights.

10. Termination

10.1 Termination by You

You may terminate your account and discontinue your use of the Service at any time by following the instructions on the Service or by contacting us at [email protected].

10.2 Termination by Muraxi

Muraxi may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms and Conditions.

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms and Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms and Conditions

Muraxi reserves the right, at its sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

12. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with Brazilian laws, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within São Paulo - SP - Brazil for the resolution of any disputes arising out of or relating to these Terms and Conditions or the Service.

13. General Provisions

13.1 Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Muraxi regarding the Service and supersede all prior agreements and understandings, whether written or oral.

13.2 Waiver

No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term, and Muraxi's failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

13.3 Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

13.4 Assignment

You may not assign or transfer these Terms and Conditions, by operation of law or otherwise, without Muraxi's prior written consent. Any attempt by you to assign or transfer these Terms and Conditions without such consent will be null and void. Muraxi may assign or transfer these Terms and Conditions, at its sole discretion, without restriction.
